Agreement to terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Merchant") and Artiple Web ("we," "us," or "our") governing your use of the Discount & Checkout Customization Shopify application ("App," "Application," or "Service").

By installing, accessing, or using our Application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not install or use our Application.

These Terms are in addition to, and do not replace, Shopify's Terms of Service and any other agreements you have with Shopify.

Eligibility

To use our Application, you must:

• Have a valid Shopify store with an active subscription
• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the authority to bind yourself or your business to these Terms
• Comply with all applicable laws and regulations in your jurisdiction
• Not have been previously banned or removed from using our services

Description of service

Discount & Checkout Customization provides the following functionality for Shopify merchants:

• Discount Rules: Create automatic discount rules based on cart conditions, customer attributes, and product properties
• Payment Customization: Hide, rename, or reorder payment methods at checkout based on specified conditions
• Shipping Customization: Hide, rename, or reorder shipping options at checkout based on specified conditions
• Rule Management: Dashboard to create, edit, and manage all customization rules

Our Application uses Shopify Functions to execute rules at checkout, ensuring fast and reliable performance.

Account and access

Installation

You install our Application through the Shopify App Store. By installing, you authorize us to access certain information from your Shopify store as described in our Privacy Policy.

Account security

You are responsible for maintaining the security of your Shopify account credentials. You must notify us immediately if you suspect any unauthorized access to your account or our Application.

Access permissions

Our Application requires certain permissions to function properly. By installing the Application, you grant us the necessary permissions to:

• Read and write discount configurations
• Access checkout data for rule evaluation
• Manage payment and shipping customizations
• Read basic store information

Acceptable use policy

You agree to use our Application only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Application in any way that violates applicable laws or regulations
• Create rules designed to deceive or mislead customers
• Use the Application to discriminate against protected classes
• Attempt to circumvent or interfere with the Application's security features
• Reverse engineer, decompile, or disassemble the Application
• Use automated scripts or bots to access the Application
• Resell or redistribute the Application without authorization
• Use the Application in a manner that could damage or overburden our systems
• Create fraudulent discounts or pricing schemes

Pricing and payment

Subscription plans

Our Application may be offered on various subscription plans, including free and paid tiers. Current pricing and features are available in the Shopify App Store listing.

Billing

All billing is handled through Shopify's billing system. You authorize Shopify to charge your payment method for all fees associated with your use of our Application.

Price changes

We reserve the right to modify our pricing at any time. Price changes will be communicated in advance and will not affect current billing cycles.

Refunds

Refund requests are handled on a case-by-case basis. Please contact our support team for refund inquiries.

Intellectual property

Our property

The Application, including all code, designs, text, graphics, logos, and other content, is owned by Artiple Web and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your content

You retain ownership of any content you create using our Application, including discount rules and configurations. By using our Application, you grant us a limited license to use this content solely to provide the Service.

Feedback

Any feedback, suggestions, or ideas you provide about our Application may be used by us without any obligation to compensate you.

Disclaimers

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Application will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of results
• Warranties that defects will be corrected

We do not guarantee that the Application will meet your specific requirements or expectations. You use the Application at your own risk.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTIPLE WEB SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from unauthorized access or use
• Damages arising from interruption or cessation of service
• Damages arising from errors in discount calculations or rule execution

Our total liability for any claims arising from your use of the Application shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Artiple Web, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Application
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights
• Any rules or configurations you create using the Application

Termination

Your right to terminate

You may terminate your use of the Application at any time by uninstalling it from your Shopify store. No refunds will be provided for partial subscription periods.

Our right to terminate

We reserve the right to suspend or terminate your access to the Application at any time, with or without notice, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Request by law enforcement
• Discontinuation of the Service

Effect of termination

Upon termination, your right to use the Application will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

Modifications to service and terms

Service modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Application at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.

Terms modifications

We may revise these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Application after changes become effective constitutes acceptance of the new Terms.

Governing law and disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Application shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or class action.

General provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Application.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign these Terms freely.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
