Agreement to terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Merchant") and Artiple Web ("we," "us," or "our") governing your use of the Discount & Checkout Customization Shopify application ("App" or "Service").

By installing, accessing, or using our App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not install or use our App.

These Terms are in addition to, and do not replace, Shopify's Terms of Service, Shopify's API Terms of Use, and any other agreements you have with Shopify.

Eligibility

To use our App, you must:

• Have a valid Shopify store with an active Shopify subscription
• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the authority to bind yourself or your business to these Terms
• Comply with all applicable laws, regulations, and Shopify's policies
• Not have been previously banned or removed from using our services

Description of service

Discount & Checkout Customization provides the following functionality for Shopify merchants:

• Automatic Discount Rules: Create condition-based discount rules (percentage or fixed amount) for products, orders, or shipping. Rules are evaluated at checkout by Shopify Functions.
• Shipping Customization: Hide, rename, or reorder shipping methods at checkout based on cart, customer, or location conditions.
• Payment Customization: Hide, rename, or reorder payment methods at checkout based on cart, customer, or location conditions.
• Rule Management: Dashboard to create, edit, activate, deactivate, and delete rules with bulk operations.
• Analytics: View order metrics, rule performance, and discount savings (Pro plan).
• Cart Simulator: Test rules against simulated carts without placing orders (Pro plan).

Our App uses Shopify Functions (server-side extensions) to execute rules at checkout. Rule evaluation happens entirely on Shopify's infrastructure within their performance and security constraints.

Subscription plans and billing

Plan tiers

The App is offered in multiple subscription tiers, including a free tier and paid tiers with additional features. Current pricing, feature comparisons, and plan limits are available in the Shopify App Store listing and within the App's Plans page.

Billing

All billing is handled exclusively through Shopify's managed billing system. You authorize Shopify to charge your registered payment method for all subscription fees. We do not directly collect or store any payment information.

Plan limits

Each plan has limits on the number of active rules, features available, and other usage parameters. If you exceed your plan's limits, you will need to upgrade or deactivate rules. Downgrading from a higher tier may result in automatic deactivation of rules that exceed the lower tier's limits.

Price changes

We reserve the right to modify pricing at any time. Price changes will be communicated in advance and will take effect at the start of your next billing cycle.

Refunds

Refund requests are evaluated on a case-by-case basis. Please contact our support team for refund inquiries. Refunds for charges processed through Shopify are subject to Shopify's refund policies.

Account and access

Installation and permissions

You install our App through the Shopify App Store. By installing, you authorize us to access certain store data through Shopify's API as described in our Privacy Policy. Our App requests specific API scopes to function properly, including permissions to read orders, read customer data, and manage discounts, shipping, and payment customizations.

Account security

You are responsible for maintaining the security of your Shopify account credentials. You must notify us immediately if you suspect unauthorized access to your account or our App. We are not liable for any loss or damage arising from your failure to maintain account security.

Merchant responsibilities and acceptable use

Rule configuration responsibility

You are solely responsible for the rules and configurations you create using the App. This includes, but is not limited to:

• Ensuring discount values, conditions, and rule logic are accurate and intended
• Testing rules before activating them on your live store (using the Cart Simulator or test orders)
• Monitoring the impact of active rules on your checkout experience and revenue
• Ensuring rules comply with applicable consumer protection laws, pricing regulations, and advertising standards in your jurisdiction
• Ensuring hidden or modified shipping/payment methods do not violate any contractual obligations with payment or shipping providers

Prohibited uses

You agree NOT to:

• Use the App in any way that violates applicable laws or regulations
• Create rules designed to deceive, mislead, or defraud customers
• Create rules that discriminate against individuals based on protected characteristics
• Use the App to create artificially inflated "original" prices to make discounts appear larger than they are
• Attempt to circumvent, interfere with, or reverse engineer the App's security features or functionality
• Use automated scripts, bots, or scrapers to access the App
• Resell, sublicense, or redistribute the App without written authorization
• Use the App in a manner that could damage or overburden our systems or Shopify's infrastructure

Checkout behavior and rule execution

You acknowledge and agree to the following regarding how rules operate at checkout:

• Rules are executed by Shopify Functions on Shopify's infrastructure. We do not directly control the checkout process.
• Rule execution is subject to Shopify's Function runtime limits, including execution time limits and input/output size constraints. Extremely complex rule configurations may be affected by these limits.
• Shopify may update its Function APIs, which could temporarily affect rule behavior. We will update our App to accommodate API changes as promptly as reasonably possible.
• Multiple active rules may interact in ways that produce combined effects. It is your responsibility to test rule combinations before activating them.
• Discount calculations are performed in real-time based on the rule configuration at the time of checkout. We are not responsible for unintended discounts resulting from misconfigured rules.
• Hiding shipping or payment methods affects the customer's checkout experience. Removing all shipping or payment options will prevent customers from completing checkout.

Intellectual property

Our property

The App, including all code, designs, text, graphics, logos, and other content, is owned by Artiple Web and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Your content

You retain ownership of rule configurations and content you create using our App. By using the App, you grant us a limited, non-exclusive license to use this content solely to provide and operate the Service.

Feedback

Any feedback, suggestions, or ideas you provide about our App may be used by us to improve the Service without any obligation to compensate you.

Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OF DISCOUNT CALCULATIONS OR RULE EVALUATIONS
• WARRANTIES THAT RULES WILL EXECUTE CORRECTLY UNDER ALL CHECKOUT CONDITIONS
• WARRANTIES THAT THE APP WILL BE COMPATIBLE WITH FUTURE SHOPIFY PLATFORM CHANGES

We do not guarantee that the App will meet your specific requirements. The App depends on Shopify's platform, APIs, and Function runtime, which are outside our control. You acknowledge that Shopify platform outages, API changes, or Function runtime issues may temporarily affect rule execution.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARTIPLE WEB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, sales, data, or business opportunities
• Revenue loss caused by unintended discounts, misconfigured rules, or incorrect pricing at checkout
• Lost sales caused by incorrectly hidden shipping or payment methods
• Customer complaints, chargebacks, or disputes arising from rule behavior
• Damages arising from Shopify platform outages, API changes, or Function runtime limitations
• Damages arising from unauthorized access to your account

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE APP EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Artiple Web, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App or rules you create and activate
• Revenue loss or customer disputes resulting from your rule configurations
• Your violation of these Terms or any applicable laws or regulations
• Your violation of any third-party rights, including customer rights
• Claims by your customers related to pricing, discounts, or checkout experience affected by your rules
• Regulatory fines or penalties arising from your use of the App in violation of consumer protection or pricing laws

Termination

Your right to terminate

You may terminate your use of the App at any time by uninstalling it from your Shopify store. Upon uninstallation, all active rules will cease to function at checkout. No refunds are provided for partial subscription periods unless required by applicable law.

Our right to terminate

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for reasons including:

• Violation of these Terms or Shopify's policies
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• Request by law enforcement or regulatory authorities
• Discontinuation of the Service

Effect of termination

Upon termination, your right to use the App will immediately cease and all active rules will stop executing at checkout. Your rule configurations will be deleted in accordance with our data retention policy. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

Service availability

We strive to maintain high availability of the App, but we do not guarantee uninterrupted service. The App's checkout functionality depends on Shopify's Function runtime, which is managed by Shopify. We are not responsible for downtime caused by:

• Shopify platform outages or maintenance
• Shopify Function runtime errors or limitations
• Internet connectivity issues
• Force majeure events

We may perform maintenance that temporarily affects the App's admin interface. Checkout rule execution is not affected by admin maintenance, as it runs on Shopify's infrastructure.

Modifications to service and terms

Service modifications

We reserve the right to modify, update, or discontinue any feature of the App at any time. We will provide reasonable notice for material changes that affect existing functionality.

Terms modifications

We may revise these Terms at any time. Material changes will be communicated via in-app notification or email at least 30 days before they take effect. Your continued use of the App after changes become effective constitutes acceptance of the updated Terms.

Governing law and disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

General provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
• Force Majeure: Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, pandemic, government actions, or Shopify platform issues.
• Notices: We may provide notices to you via in-app notification, email to your Shopify store contact email, or updates to this page.
